Placing an order is an offer to purchase from Seritide. We may accept or decline any order at our discretion. An order is not accepted until we confirm acceptance and payment is successfully processed.

Please review your order carefully before submitting it. If we do not accept, adjust, or cancel an order, we will attempt to notify you using the email address, billing address, and/or phone number provided at checkout.

Returns and exchanges are governed solely by our Refund Policy.

You represent that purchases are for personal or household use and are not for commercial resale or export.

SECTION 4 — PRICES AND BILLING

Prices, discounts, and promotions may change without notice. The price charged is the price shown at the time you place the order and will be reflected in your order confirmation.

Unless stated otherwise, listed prices do not include taxes, shipping, handling, customs, or import charges.

You agree to provide accurate and up-to-date purchase and account information and to promptly update your information (including email and payment details) so we can complete transactions and contact you as needed.

You represent that the payment method you provide is valid, that you are authorized to use it, and that you will pay all charges incurred, including applicable taxes and shipping/handling charges.

Shipping and delivery timelines are estimates and are not guaranteed. We are not liable for delays caused by shipping carriers, weather, customs processing (if applicable), or circumstances outside our control.

Once products are transferred to the carrier, title and risk of loss pass to you, except where applicable law provides otherwise.

“Seritide” names, logos, product names, designs, and slogans are trademarks of Seritide or its licensors. Shopify’s name and branding are trademarks of Shopify. All other marks belong to their respective owners.

The Services may include access to third-party tools we do not control. These tools are provided “as is” and “as available,” without warranties or endorsements. Your use of third-party tools is at your own risk.

The Services may include content or links to third-party websites or functionality. We are not responsible for third-party content, accuracy, or practices. If you access third-party sites, you do so at your own risk.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

Seritide is powered by Shopify, which enables us to provide the Services. However, purchases in our store are made directly with Seritide. By using the Services, you acknowledge Shopify is not responsible for any aspect of any sales between you and Seritide, including any injury, damage, or loss resulting from purchased products or services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to purchases and transactions with Seritide.

SECTION 10 — PRIVACY POLICY

Personal information collected through the Services is governed by our Privacy Policy. Certain personal information may also be subject to Shopify’s Privacy Policy.

Because Shopify hosts the Services, Shopify collects and processes personal information related to access and use of the Services to operate and improve the platform.

If you submit ideas, suggestions, feedback, reviews, proposals, or other content (“Feedback”), you grant Seritide a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display the Feedback for any purpose, including commercial use.

You represent that you own or have the rights necessary to submit Feedback and that it complies with these Terms. We are not required to keep Feedback confidential, pay for it, or respond to it. We may remove Feedback we believe violates these Terms or applicable law.

SECTION 12 — ERRORS, INACCURACIES, AND OMISSIONS

The Services may occasionally contain errors or omissions related to product details, pricing, promotions, shipping charges, transit times, or availability. We may correct errors, update information, or cancel orders if information is inaccurate at any time, without prior notice (including after you submit an order).

You may use the Services only for lawful purposes. You may not use the Services to violate laws, infringe intellectual property rights, harass or harm others, distribute malware, scrape the site, collect personal information without authorization, or interfere with security features.

To the fullest extent permitted by law, Seritide (including its partners, affiliates, employees, agents, contractors, service providers, licensors, and Shopify and its affiliates) will not be liable for indirect, incidental, punitive, special, or consequential damages arising from your use of the Services or products.

SECTION 17 — INDEMNIFICATION

You agree to indemnify and hold harmless Seritide and Shopify (and their affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers) from claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, violation of law, or infringement of third-party rights.

SECTION 18 — SEVERABILITY

If any provision is found unlawful, void, or unenforceable, the remainder will remain valid and enforceable to the fullest extent permitted by law.

SECTION 19 — WAIVER; ENTIRE AGREEMENT

Failure to enforce any provision is not a waiver. These Terms and referenced policies constitute the entire agreement between you and Seritide regarding your use of the Services and supersede prior agreements or communications.

SECTION 20 — ASSIGNMENT

You may not assign or transfer these Terms without our written consent. We may assign these Terms and our rights and obligations without notice.

SECTION 21 — GOVERNING LAW

These Terms and any disputes relating to them are governed by the laws of the United States and the State of Michigan, without regard to conflict-of-law principles. You agree that any legal action relating to these Terms will be brought in the state or federal courts located in Michigan, and you consent to personal jurisdiction and venue in those courts.

We may update these Terms by posting revisions on this website. Where required by law, we will provide notice of material changes. Continued use of the Services after changes are posted constitutes acceptance.
